The Customer, by placing an order for services from CRITEC LDA, accepts these General Terms and Conditions of Service without reservation:
1 - GENERAL
These General Terms of Service govern the contractual relationships established between CRITEC, LDA, a limited liability company, registered in the Commercial Registry Office under corporate entity number 507.596.641 with headquarters at Travessa da Gândara - Vale do Senhor, 3750 – 727 Recardães, union of parishes of Recardães and Espinhel, hereinafter referred to as “CRITEC”, and the Customers/Users (individuals or legal entities with legal personality who request services from CRITEC).
2 - PROVISION OF SERVICES
CRITEC will provide services with appropriate care and diligence, following the specific instructions of the Customer, provided they are confirmed by CRITEC.
3. CUSTOMER OBLIGATIONS
The Customer:
a) Will ensure that relevant information, instructions, and documents requested by CRITEC are provided in a timely manner (and no later than 48 hours before the desired intervention in a specific action) to allow the requested services to be executed;
b) Will ensure all necessary access authorizations to allow the requested services to be performed by CRITEC's representatives and will take all necessary steps to eliminate or resolve any obstacles or interruptions to the provision of services;
c) Will provide, if necessary, any special equipment and personnel required for the execution of the services.
4. FEES AND PAYMENT
4.1 - The fees are defined when the Customer selects the desired services on the website www.critec.pt.
4.2 - Fees for additional services requested later will be defined between CRITEC and the Customer and will correspond to the prices set by CRITEC, plus all applicable taxes that are the Customer's responsibility.
4.3 - Unless a shorter period is specified on the invoice, the Customer will make payment of all fees due to CRITEC within a maximum period of 30 days from the invoice issuance date or within another period as specified by CRITEC on the invoice (the "Due Date"). Failure to pay will result in interest at a rate of 8% per month (or another rate as specified on the invoice) from the Due Date until the actual payment date.
4.4 - The Customer will not have the right to withhold or delay payment of any amounts owed to CRITEC due to any dispute, claim, or compensation of a credit that the Customer may claim against CRITEC.
4.5 - If payment is not made within the granted period, as stipulated in 4.3, CRITEC reserves the right to initiate a process for the collection of unpaid fees in any competent court, in which case the Customer will pay all of CRITEC's collection expenses, including attorney's fees and other related costs.
4.6 - If unforeseen or unexpected expenses arise during the execution of the services, CRITEC will inform the Customer and will have the right to charge fees for the additional time and costs necessary for the proper provision of the services.
4.7 - If CRITEC is unable to fully or partially execute the services for any reason not attributable to it, including the Customer's failure to fulfill any of their obligations under clause 3 of these Conditions, CRITEC will be entitled to payment of the amount corresponding to all non-refundable expenses incurred and proportional payment of the agreed fees for the services actually provided.
5. SUSPENSION OR TERMINATION OF SERVICES
CRITEC has the right to suspend or terminate, immediately and without charges, the provision of services in the event of the Customer's non-compliance with any of the obligations stipulated in these Conditions.
6. MISCELLANEOUS
6.1 - If any clause of these Conditions is deemed illegal, it does not affect or impair the validity, legality, and enforceability of the remaining clauses.
6.2 - The jurisdiction for resolving disputes arising from these General Conditions shall be the court of Aveiro, Portugal, with express waiver of any other jurisdiction.
6.3 - The responsibility for the data provided and placed on websites by CRITEC is exclusively the responsibility of the Customer, and CRITEC cannot be held responsible in any way for such data or its content.
